商務合同和協(xié)議是雙方當事人或單位就某一商業(yè)活動協(xié)商而簽署的合同或達成的協(xié)議，是對當事雙方都具有約束力的法律性公文。雖然這類公文的種類繁多，但格式較為統(tǒng)一，語言精練，內(nèi)容縝密。在英譯商務合同和協(xié)議時，須對其上述三項，特別是后兩項特征需特別留意，否則就會失之毫厘，謬以千里，給當事的一方或雙方造成不可挽回的損失。

1．詞匯特點
1．1 使用公文慣用副詞
商務合同和協(xié)議屬于法律公文，所以進行英文翻譯時，需使用英語慣用的公文語副詞，以便譯文結構嚴謹、邏輯嚴密、言簡意賅。公文語副詞是由副詞here、there、where等分別加上after、by、in、of、on、to、under、upon、with等副詞，構成的復合公文語副詞。如：hereafter，thereafter，thereon，thereupon，hereinafter等。
例1．本合同自買方和建造方簽署之日生效。
This Contractshall come into force from the date of execution hereof by the Buyer and theBuilder．
例2．茲特由雙方授權的代表，與上述首開日期和簽署本合同為依據(jù)。 合同翻譯

1.2 準確用詞
商務合同是一種特殊的應用文體，用詞行文的一大特點就是準確與嚴謹。英譯商務合同時，常常由于選詞不當而導致詞不達意或者意思模棱兩可，甚至誤譯。
例1．雙方都應遵守合同規(guī)定。／雙方的一切活動都應遵守合同規(guī)定。
Both parties shallabide by the contractual stipulations．／All the activities of both parties shall comply with the contractualstipulations．
英語中abide by與comply with均意味“遵守”。當主語是人時，須用abide by，當主語是物時，則用comply with。
例2．雙方同意將交貨期改為8月，并將美元折合成港幣。
Both parties agree to change the time ofshipment to August and change US dollar intoHong Kong dollar．
翻譯時需注意change A to B與change A into B的差異。前者意指“把A改為B”，后者意為“把A折合成／兌換成B”。
例3．由“勝利”輪運走／運來／承運的貨物將于10月12日抵達巴黎。 商務翻譯特點

介詞ex，per，和by含義不同：ex指“運來”，per指“運走”，by為“承運”。
1.3 注意合同細目的翻譯
為了避免英譯合同中的細目，如：金錢、時間、數(shù)量等出現(xiàn)差錯，常常使用一些有限定作用的結構來界定細目所指定的確切范圍。
例1．如果上述貨物對船舶和(或)船上其他貨物造成任何損害，托運人應負全責。
The shipper shallbe liable for all damage caused by such goods to the ship and / or cargo onboard.
英語中and/ or 意為“甲和乙+甲或乙”，這樣就可避免漏譯其中的一部分。
例2．買賣雙方同意按下述條款購買出售下列商品并答訂本合同。
This Contract ismade by and between the Buyer and the Seller，whereby the Buyer agrees to buy and the Seller agrees to sell theunder mentioned commodity subject to the terms and conditions stipulated below．
英語中的by and between強調(diào)合同是由“雙方”簽訂的。
例3．自9月1日起，甲方已無權接受任何定單或收據(jù)。
Party A shall beunauthorized to accept any orders or to collect any account on and afterSeptember 1．
英文—文中用雙介詞on and after意為含當天日期在內(nèi)的起止時間。
例4． On or prior to the Closing Date thereshall have been delivered to the Subscriber， anopinion, in a form satisfactory to the Subscriber，orSkinner，Lind，Willie，Wong and Chin.，Malaysian counsel to theTrustee and the Manager．
中止日或中止日期前，應以認購人滿意之形式，向認購人提供受托人及管理人之馬來西亞顧問Skinner，Lind，Willie，Wong及Chin之意見。
英文中用雙介詞on orprior to 意為當日或當日之前。
2．句法特點
為了保證商務合同與協(xié)議翻譯的準確，不引起誤解，商務合同與協(xié)議的英文翻譯語句一般較長，插入成分較多，句法結構也較為復雜，多使用條件狀語從句、有it作形式主語的主語從句及定語從句等。
例1．The Customer and NEXPRESS each agree andundertake that during the Term and Thereafter it will keep confidential andwill not use for its own purposes or without the prior written consent of theother party disclose to any third party any part or all information concerningthe terms of this Agreement unless such information is in the public domainother than as a result of a breach of this clause．
